2. Definitions

• "Platform" means the UbwiruHomes website (ubwiruhomes.com) and all associated services, applications, and content.
• "User" means any individual or entity that accesses or uses the Platform.
• "Buyer" means a User who searches for, views, or inquires about properties listed on the Platform.
• "Seller" means a User who lists properties for sale or rent on the Platform.
• "Property" means any real estate listing posted on the Platform.
• "Content" means any information, text, images, videos, or other material uploaded to the Platform.
• "Ubwiru" means Ubwiru Investments LTD, the operator of the Platform.
• "Transaction" means any agreement, sale, lease, or other arrangement between a Buyer and a Seller.

3. Eligibility

By using the Platform, you represent and warrant that:

• You are at least 18 years of age.
• You have the full legal capacity to enter into binding contracts.
• You are not located in a country that is subject to a U.S. or Rwandan government embargo or sanctions.
• You will comply with all applicable local, national, and international laws and regulations, including but not limited to Law N° 27/2021 Governing Land in Rwanda.
• You have not been previously suspended or removed from the Platform.

4. Account Registration and Security

To access certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate.
• Maintain the security and confidentiality of your password and accept all risks of unauthorized access.
• Notify us immediately of any unauthorized use of your account or any other breach of security.
• Not share your account credentials with any third party.
• Be fully responsible for all activities that occur under your account.

Ubwiru reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.

5. User Conduct and Prohibited Activities

You agree NOT to:

• Use the Platform for any unlawful purpose or in violation of any applicable law.
• Post false, inaccurate, misleading, or fraudulent content.
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Harass, abuse, threaten, or harm another person.
• Upload, post, or transmit any viruses, malicious code, or other harmful software.
• Interfere with or disrupt the integrity or performance of the Platform.
• Attempt to gain unauthorized access to any portion of the Platform or any other systems or networks connected to the Platform.
• Use any robot, spider, scraper, or other automated means to access the Platform for any purpose without our express written permission.
• Collect or store personal data about other Users without their express consent.
• Use the Platform to send unsolicited commercial messages (spam).

7. Buyer Responsibilities and Due Diligence

Buyers acknowledge and agree that:

• Property listings are provided by sellers and are NOT verified by Ubwiru.
• You are solely responsible for conducting thorough due diligence before purchasing any property.
• You MUST conduct a title search on Irembo (irembo.gov.rw) before making any payment. The cost is 25,000 RWF.
• You MUST engage a licensed notary to assist with property transfers. Notary fees typically range from 0.1% to 0.5% of the property value.
• You MUST verify zoning, building permits, property taxes, and utility connections before purchase.
• UBWIRU IS NOT A PARTY TO ANY TRANSACTION BETWEEN BUYERS AND SELLERS.
• UBWIRU DOES NOT HANDLE PAYMENTS OR ESCROW FOR PROPERTY TRANSACTIONS.
• UBWIRU IS NOT RESPONSIBLE FOR ANY FINANCIAL LOSSES, TITLE DISPUTES, OR OTHER DAMAGES ARISING FROM PROPERTY TRANSACTIONS.

8. Seller Responsibilities

Sellers acknowledge and agree that:

• You are solely responsible for the accuracy and legality of your property listings.
• You must have the legal right to sell or lease the property you list.
• You must comply with all applicable laws, including Law N° 27/2021 Governing Land in Rwanda.
• You are responsible for paying all applicable taxes on property sales or rentals.
• You must respond to inquiries from potential buyers in a timely and professional manner.
• You must not misrepresent the condition, size, legal status, or any other aspect of any property.
• You must obtain any necessary permits or approvals before listing certain properties.
• You must provide truthful documentation when requested for verification.

9. Verification and Trust Badges

Ubwiru offers verification badges to professionals who submit valid credentials for review. However:

• Verification DOES NOT constitute an endorsement or guarantee of performance, honesty, or competence.
• Ubwiru DOES NOT guarantee the accuracy or authenticity of any verified credentials.
• Trust badges are provided for informational purposes only.
• Users should independently verify any professional's credentials with the issuing authorities.
• Ubwiru reserves the right to revoke verification badges at any time, with or without cause.

10. Reviews and Ratings

Users may submit reviews and ratings of sellers. By submitting a review, you agree that:

• Your review must be based on your genuine, first-hand experience with the seller.
• Your review must not contain false, misleading, defamatory, or harassing statements.
• Your review must not contain personal information about others.
• Ubwiru may remove any review that violates these Terms, at our sole discretion.
• Reviews are the opinions of individual users and DO NOT reflect the views or opinions of Ubwiru.
• UBWIRU IS NOT RESPONSIBLE FOR THE CONTENT OF ANY REVIEW.
• You may not submit a review for a transaction in which you were involved as a seller.
• Knowingly submitting a false or defamatory review may subject you to legal liability under Rwandan law.

11. Document Uploads

Sellers may upload property documents for verification. By uploading documents, you agree that:

• You have the legal right to upload and share the documents.
• The documents are authentic, genuine, and not forged or altered.
• Uploading forged, altered, or fraudulent documents will result in IMMEDIATE ACCOUNT TERMINATION and may be reported to law enforcement.
• Ubwiru does NOT guarantee the accuracy or authenticity of uploaded documents.
• Buyers should independently verify all documents with relevant authorities before making any payment.

12. AI Assistant (Uri)

Our AI assistant, Uri, provides general information about Rwandan real estate, visas, business registration, and related topics. By using Uri, you acknowledge and agree that:

• Uri provides GENERAL INFORMATION ONLY and DOES NOT CONSTITUTE LEGAL ADVICE.
• You should consult a licensed Rwandan attorney or other qualified professional for specific legal advice.
• UBWIRU IS NOT RESPONSIBLE FOR ANY ACTIONS TAKEN BASED ON URI'S RESPONSES.
• Uri's responses may not be accurate, complete, current, or reliable. Uri is an AI and may make mistakes.
• UBWIRU IS NOT LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF URI.
• You must independently verify any critical information with official sources (Irembo, DGIE, RDB, RRA).

13. Fees and Payments

Currently, basic listing on UbwiruHomes is free. Ubwiru reserves the right to introduce fees for certain features in the future. If fees are introduced:

• Ubwiru will provide notice at least 30 days before any fees become effective.
• You may terminate your account within the 30-day notice period if you do not agree to the fees.
• All fees are non-refundable except as required by law.
• You are responsible for any taxes applicable to fees.
• Ubwiru may use third-party payment processors to process payments.

14. Intellectual Property

All content on the Platform, including text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, is the property of Ubwiru Investments LTD or its licensors and is protected by Rwandan and international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you upload to the Platform. By uploading content, you grant Ubwiru a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the Platform.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content on the Platform without our express written consent.

15. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, UBWIRU DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
• Warranties regarding the accuracy, reliability, timeliness, or completeness of any content, including property listings.
• Warranties regarding property titles, zoning compliance, property condition, or legal status of any listed property.
• Warranties regarding the performance, honesty, or competence of any sellers or other users.

16. Limitation of Liability

IN NO EVENT SHALL UBWIRU'S TOTAL LIABILITY TO YOU EXCEED 100,000 RWANDAN FRANCS (APPROXIMATELY $100 USD).

UBWIRU IS NOT LIABLE FOR:

• ANY LOSSES ARISING FROM PROPERTY TRANSACTIONS BETWEEN USERS.
• ANY LOSSES RESULTING FROM INACCURATE, MISLEADING, OR FRAUDULENT PROPERTY LISTINGS.
• ANY LOSSES FROM TITLE DISPUTES, PROPERTY DEFECTS, OR ZONING ISSUES.
• ANY LOSSES FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT.
• ANY LOSSES FROM PLATFORM DOWNTIME, DATA LOSS, OR SERVICE INTERRUPTIONS.
• ANY LOSSES FROM ACTIONS TAKEN BASED ON URI AI RESPONSES.
• ANY LOSSES FROM RELIANCE ON VERIFICATION BADGES OR REVIEWS.
• ANY LOSSES FROM ACTIONS TAKEN BY OTHER USERS.

17. Indemnification

You agree to indemnify, defend, and hold harmless Ubwiru Investments LTD and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or inability to use the Platform.
• Your violation of these Terms.
• Your violation of any applicable law or third-party rights.
• Any content you post, upload, or otherwise submit to the Platform.
• Your property transactions with other users.
• Your negligence, fraud, or willful misconduct.

18. Termination

Ubwiru may terminate or suspend your account and access to the Platform at any time, without notice, for any reason, including but not limited to:

• Violation of these Terms.
• Posting fraudulent, misleading, or illegal listings.
• Harassment, abuse, or threats toward other users.
• Suspected illegal activity or fraud.
• Non-payment of any fees (if applicable).
• Upon request by law enforcement or government agencies.

Upon termination, your right to use the Platform will immediately cease. Ubwiru may delete your account and associated content. Sections that by their nature should survive termination (including but not limited to Sections 14-17, 19-20) shall survive.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Rwanda, without regard to its conflict of law principles. Specifically, these Terms are subject to:

• Law N° 27/2021 Governing Land in Rwanda.
• Law N° 058/2021 on Protection of Personal Data and Privacy.
• Law N° 06/2021 on Electronic Transactions.
• Law N° 003/2018 on Investment Promotion and Facilitation.
• The OHADA Uniform Act on Contract Law (if applicable).

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Kigali, Rwanda, and the parties hereby consent to the personal jurisdiction and venue thereof.

20. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved as follows:

1. Informal Resolution: The parties shall first attempt to resolve the dispute informally by contacting Ubwiru at admin@ubwiruhomes.com within 30 days of the dispute arising.
2. Mediation: If the dispute cannot be resolved informally within 30 days, the parties shall submit to mediation administered by the Rwanda Mediation Association. Mediation costs shall be shared equally.
3. Arbitration: If mediation fails to resolve the dispute within 60 days, the dispute shall be resolved by binding arbitration in accordance with the rules of the Kigali International Arbitration Centre (KIAC). The arbitration shall take place in Kigali, Rwanda. The arbitration award shall be final and binding on both parties and may be enforced in any court of competent jurisdiction.
4. Small Claims: Either party may bring an individual action in the small claims court of Kigali for disputes under 1,000,000 RWF, provided that such action is not part of a class action.

YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS AND WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CONSOLIDATED PROCEEDING, OR REPRESENTATIVE ACTION.

21. Force Majeure

Ubwiru shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation facilities, fuel, energy, labor, or materials, or internet or telecommunications failures.

22. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Ubwiru regarding your use of the Platform and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter hereof.

23. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

24. Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Ubwiru. The failure of Ubwiru to enforce any right or provision shall not constitute a waiver of such right or provision.

25. Contact Information
